No Board of Directors meeting in June 2022 only and operations meeting was conducted – no meeting minutes are ever provided for operations meetings as we have never had a volunteer to take meeting minutes.

The Operations meeting from the month before provided various courses of action for consideration, there was also a BoD briefing that touched on a lot of membership levels earlier in the year.
In the end only two courses of action were brought forward for a final discussion and vote – no other proposals were voiced before the vote was taken – National leadership team did not vote:
Option 1 – 18 Yea (2 proxy) / 1 Nay / 4 Abstained – Keep everything the same as 2022 in 2023, except increase Regional Splits from $55 to $65 in 2023
Option 2 – 1 Yea / 18 Nay (2 proxy) / 4 Abstained – Membership to cover all VOA billable items + Regions get whatever split they tell the VOA they want us to collect {based on discussion only two pricing options were put to a vote}

Because a membership survey was not conducted that asked some basic questions like:
..1) Is cost of membership more important to you than member benefits/services?
..2) Who wants a Viper Magazine?
..3) Would you be interested in a Virtual only Viper Magazine?
..4) Would you be interested in a Virtual and Hard-copy Viper Magazine?
..5) etc …
It was decided that the BoD should only consider what the Finance Team could develop a budget for, with some certainty, based on what we have learned over the past year’s membership renewals.

A survey is being created for distribution in the spring of 2023 to ask membership what they want out of the club in 2024.

During the BoD Meeting a comment was made about international membership and the value of the USD vs another country’s currency – exchange rate and value being questioned as it cost international members more to join the VOA – as stated in the discussion.

Based on that discussion, we are going to have a more detailed conversation and bring forward for a future vote the idea that all International memberships should just pay for participation in the National VOA.

This ensures international organizations would not loose value based on transaction fees or have to worry about currency fluctuations for paying in and then getting back out that Regional Split. So, we are considering the idea that we would only collect National Membership fees which also ensures that the VOA remains in compliance with other issues with IRC 501c7 distributions to other 501c7 sanctioned organizations. We are not aware of any of the international VOA organizations having applied for or been granted a 501c7 Not-for-Profit status by the U.S. IRS. Japan, at their request, has been using this non-Regional Split model for the last 10-years without a single issue. So, the following options would be flushed out more to provided a better understanding of what International Members would pay:
— 1) $85 USD to the VOA International Membership – all listed benefits except no regional payment going to club of their choice and they would still get access to the Virtual Magazine
— 2) $150 USD to the VOA International Mamba Membership – all listed Mamba benefits except no regional payment going to club of their choice and they would still get Hard-copy Magazines sent to their international address

By doing this we would be able to more accurately manage U.S. Mamba membership fees and the average shipping cost would go down by approximately $1.25, which is a more accurate cost for Domestic Mamba members. It should be noted that the VOA cannot ship VMQ to Canada using standard USPS rates, they cost is at almost 6x the domestic USPS rate. With that being said, if you register as an International member in 2022 we would be looking to refund you $65 on a regular membership and we would be looking at refunding Mamba members $45 – based on the cost to ship the Magazines Internationally. More to follow as we look forward to a more in-depth discussion and future vote.
